Platform Legal Agreement

Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and AdFlame.ai ("AdFlame", "we", "us", or "our") governing your access to and use of our website, software, APIs, and ad creative simulation services.

Last Modified: October 25, 2026•Version 2.3

Summary of Core Operating Principles

Your IP Remains YoursYou retain 100% ownership of your uploaded video creatives, ad copy, and brand assets. We never train public AI models on your files.
Predictive DiagnosticsSimulation metrics, Flame Scores, and benchmark figures are algorithmic approximations and illustrative benchmarks, not guarantees of live advertising ROAS.
Subscriptions & CreditsCredits renew monthly according to your plan tier. You can modify or cancel your subscription at any time via your dashboard.

1. Acceptance of Terms

By creating an account, initiating an ad test, or accessing the AdFlame.ai dashboard, you confirm that you are at least 18 years of age (or have reached the age of majority in your jurisdiction), possess the authority to bind your organization or business entity to these Terms, and agree to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the platform.

2. Description of Service & Simulation Workflows

AdFlame provides direct-response marketing teams, creative strategists, and brands with an autonomous multi-agent simulation suite. The service ingests short-form video creatives (MP4, MOV) to generate synthetic viewer retention curves, visual saliency heatmaps, platform UI safe-zone compliance verifications, script remediations, and predicted click-through metrics.

We reserve the right to improve, update, modify, or discontinue any feature, diagnostic metric, or algorithmic benchmark profile of the service at any time without prior liability.

3. User Accounts, Seats & Workspace Security

  • Account Integrity: You agree to provide accurate, complete, and updated registration details. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your workspace account.
  • Seat Allocations: Workspace seats (collaborators and team members) are determined by your active subscription plan. Credentials may not be shared concurrently across unauthorized third parties outside your designated organization.
  • Unauthorized Access: You must notify us immediately at supportadflame.ai if you detect or suspect any breach of security, credential leakage, or unauthorized workspace access.

4. Billing, Subscriptions, Credits & Refund Policies

A. Subscription Tiers & Automatic Billing

AdFlame is billed on a recurring subscription basis (monthly or annual, as selected at checkout). By selecting a paid subscription tier, you authorize our third-party payment gateway (Stripe) to automatically charge your designated payment method on each periodic renewal date until canceled.

B. Monthly Simulation Credit Allocation & Hard Expiration

Each completed video creative diagnostic consumes 1 simulation credit. Whether enrolled in a monthly or annual subscription, simulation credits are provisioned strictly on a monthly allocation cycle corresponding to your plan tier. Unused simulation credits expire at the conclusion of each monthly billing cycle and do not roll over or accumulate across subsequent months. Unconsumed credits hold no cash redemption value and are non-refundable.

C. Free Promotional Trials

We may offer eligible new users a 7-day free trial equipped with promotional simulation credits (e.g., 2 test credits). Users are strictly limited to one free trial per organization, legal entity, or domain. Creating duplicate accounts or utilizing automated tools to circumvent trial limitations constitutes a material breach of these Terms and will result in immediate permanent account termination.

D. Cancellation, Monthly Refunds & Retrospective Annual Clawback

1. Cancellation Timing: You may cancel your subscription at any time from your dashboard (Billing → Manage Billing). Cancellation stops the next renewal and takes effect at the conclusion of your current paid billing period (for annual plans, the end of the twelve (12) month term), during which you will retain full workspace access and your monthly credit allocations. Cancelling does not by itself entitle you to a refund of fees already paid.

2. Monthly Plans: Because compute, cloud storage, and AI inference resources are incurred immediately upon test execution, all monthly subscription charges, add-on credit purchases, and recurring fees are strictly non-refundable once billed. In all cases, any applicable taxes, fees, or chargebacks are non-refundable.

3. Annual Plan Early Termination & Clawback: Annual subscriptions are billed upfront in full in exchange for a discounted annual rate and a twelve (12) month service commitment. To end an annual plan early with a refund, the workspace owner must request it by contacting supportadflame.ai. If you request early termination and a refund for an annual plan prior to the expiration of the twelve (12) month term:

  • The annual discount is forfeited. Any eligible refund is calculated by retrospectively re-billing the active months used at the standard, undiscounted monthly list price in effect at the time of purchase, rounded up to the nearest whole month.
  • Elapsed months are counted from the start of the current annual term to the date the refund is issued, with any partial month counted as a full month.
  • The net refund amount shall equal: the total amount paid for the current annual term, minus (Elapsed Months multiplied by the Standard Monthly List Price), minus any amount already refunded for that term. Any applicable taxes, fees, or chargebacks are non-refundable.
  • When a refund is issued, your subscription ends immediately: paid plan access and any remaining monthly credits end on that date, and add-on credits become unusable while no paid subscription is active (Section 4.F). Refunds are returned to the original payment method and usually appear within five (5) to ten (10) business days, depending on your card issuer or bank.
  • Add-on credits excluded: Separate simulation credit packs purchased during the term are consumed independently and are non-refundable.
  • If the retrospective monthly charge meets or exceeds the total upfront amount paid, no refund will be issued, and account access will simply remain active until the end of the paid annual term.

E. Payment Failures & 48-Hour Dunning Grace Period

If an automated renewal charge fails (e.g., card expiration or insufficient funds), your account transitions to past-due status. You are granted a forty-eight (48) hour grace period from the initial failure timestamp to update your payment method via the customer billing portal without interruption to active test diagnostics. If valid payment details are not provided within forty-eight (48) hours, diagnostic testing privileges and workspace execution will be suspended until the outstanding invoice is cleared.

F. One-Time Add-On Credit Packs

Active subscribers may purchase à la carte, one-time simulation credit packs (e.g., 10, 25, 60, or 150 credits) to supplement their monthly tier allocation. Unlike monthly subscription credits, purchased add-on credits do not expire at the end of the billing month and roll over indefinitely for as long as your workspace maintains an active paid subscription. When initiating ad creative diagnostics, your monthly expiring plan quota is consumed first; add-on credits are deducted only after your monthly quota is fully exhausted. All add-on pack purchases are one-time non-recurring charges, strictly non-refundable once purchased, and excluded from subscription termination clawback adjustments.

5. Intellectual Property Rights & Content Ownership

A. Customer Video Creative & IP (Your Property)

You retain sole and exclusive ownership of all intellectual property rights in and to the videos, scripts, audio tracks, brand marks, and files you upload to AdFlame ("Customer Content"). AdFlame does not claim any ownership over Customer Content. You grant AdFlame only a limited, non-exclusive, worldwide, royalty-free license to host, parse, cache, and transmit Customer Content strictly for the purpose of operating the platform and delivering your diagnostic test results.

B. Diagnostic Output Ownership

Subject to your compliance with these Terms, AdFlame assigns to you all right, title, and interest in and to the analytical diagnostic outputs generated for your account, including generated retention curves, script rewrite recommendations, and diagnostic summary cards.

C. AdFlame Proprietary Technology

AdFlame retains all right, title, and interest in and to the platform, including our software, algorithms, user interfaces, benchmark curve datasets, synthetic agent modeling architectures, logos, and trademarks. You may not reverse engineer, decompile, crawl, scrape, or extract source code or model weights from the platform.

6. Acceptable Use & Prohibited Conduct

You agree not to upload, transmit, or process any video creative or content that:

  • Infringes any third party's copyright, trademark, patent, or proprietary rights.
  • Contains illegal, fraudulent, deceptive, or predatory advertising claims.
  • Promotes hate speech, violence, harassment, discrimination, or exploitation.
  • Contains pornography, explicit adult material, or non-consensual imagery.
  • Introduces malware, trojans, malicious script injection, or denial-of-service payloads.
  • Exceeds the maximum video duration limits (60 seconds) or file size caps (50MB) through unauthorized API injection.

We reserve the right to immediately suspend or terminate any account found in violation of these acceptable use policies without refund.

7. Predictive Analytics Disclaimer, Model Variability & Marketing Performance Safe Harbor

A. Simulated Approximations & AI Inherent Variability: AdFlame generates pre-test diagnostics, Flame Scores, Hook Retention Curves, Predicted CTRs, Saliency Heatmaps, and counter-angles using synthetic audience modeling and probabilistic multimodal artificial intelligence systems. You explicitly acknowledge that generative AI model outputs are inherently non-deterministic and can vary based on creative nuances, prompt structures, platform updates, and buyer cohort selections. Diagnostic metrics represent directional optimization guidance and internal modeling hypotheses, not absolute factual determinations, audit-grade verification, or guarantees of future commercial outcomes.

B. Website Benchmark & Case Study Representation: Any statistical benchmarks, correlation percentages, lift figure projections, or historical performance metrics displayed on our marketing website, solutions pages, documentation, or promotional materials reflect historical testing environments, specific user sample sets, or internal calibration benchmarks. These figures are for illustrative purposes only and do not constitute a representation, warranty, or contractual covenant that you or your organization will achieve identical, comparable, or correlated results. Individual results will vary significantly based on your industry, niche, audience targeting, product-market fit, creative execution quality, ad spend, and live auction dynamics.

C. Exclusion of Auction & Revenue Guarantees: AdFlame makes no representation, warranty, or guarantee that any ad creative evaluated, modified, or generated through the platform will achieve specific click-through rates, retention rates, lower cost-per-acquisition (CPA), return on ad spend (ROAS), or commercial profitability in live advertising auctions (including but not limited to TikTok, Meta Ads, YouTube, Google Ads, or Snap). You acknowledge that real-world advertising performance depends on external commercial variables entirely outside AdFlame's control, including algorithmic auction bidding shifts, competitor budgets, delivery throttling, seasonal consumer purchasing behavior, and platform policy enforcements.

D. Independent Commercial Discretion: You retain complete editorial and managerial discretion over whether to implement, publish, run, or deploy any script remediation, visual suggestion, or hook revision produced by AdFlame. To the maximum extent permitted by law, AdFlame will not be liable for any ad spend, media budget, lost revenue, auction penalties, account bans, or negative commercial results arising from your reliance on diagnostic outputs.

8. Warranties & Platform Uptime

THE PLATFORM AND ALL DIAGNOSTIC RESULTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive for 99.9% platform availability, we do not guarantee uninterrupted or error-free operation. We are not liable for temporary service interruptions resulting from emergency maintenance, upstream AI cluster capacity throttles (e.g., transient HTTP 503 capacity shed events), or global internet transit failures.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ADFLAME.AI, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF ADVERTISING EXPENDITURE, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF BUSINESS REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO CASE SHALL ADFLAME'S TOTAL AGGREGATE LIABILITY ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100 USD), OR (B) THE TOTAL FEES ACTUALLY PAID BY YOU TO ADFLAME IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless AdFlame.ai and its officers, directors, and affiliates from and against any claims, liabilities, damages, losses, and reasonable legal expenses arising out of or in any way connected with: (a) your Customer Content or video files, (b) your violation of these Terms, or (c) your violation of any third-party rights, including intellectual property or privacy rights.

11. Termination

You may close your account at any time via your workspace profile. Closing your account cancels any active subscription immediately and permanently deletes your workspace data; it does not entitle you to a refund for the remainder of a paid billing period. If you hold an annual plan and wish to request an early termination refund under Section 4.D.3, do so before closing your account. We may suspend or terminate your access to the service immediately without prior notice if we reasonably believe you have breached these Terms, attempted to exploit system quotas, or engaged in abusive conduct. Upon termination, your right to use the service ceases, and stored video files will be permanently purged in accordance with our Privacy Policy.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms shall first be submitted to good-faith informal negotiation between the parties for a period of thirty (30) days prior to the initiation of any formal legal proceeding or arbitration.

13. Changes to These Terms

We reserve the right to revise these Terms from time to time to accommodate new features, security updates, or statutory requirements. When revisions are made, we will update the "Last Modified" date at the top of this page. Continued use of the platform after the effective date of updated Terms constitutes your binding acceptance of the changes.
