Partner Agreement

Partner Program Terms

These Partner Program Terms ("Partner Terms") are an agreement between you and AdFlame.ai ("AdFlame", "we", "us") for taking part in the AdFlame partner (affiliate) program. They apply in addition to our Terms of Service and Privacy Policy.

Last Modified: November 8, 2026•Version 1.0

The program in brief

  • You earn 20% of each subscription payment from customers you refer, for 12 months from their first payment.
  • Your audience gets 20% off their first 3 months with your code (new customers only).
  • A referral counts through your link (within 30 days of the click) or your code at checkout.
  • We pay monthly once your balance reaches $50, for payments at least 30 days old.
  • Disclose that you earn a commission, and never bid on our brand, use coupon sites, spam or refer yourself.
  • Refunded or charged-back payments earn nothing. Either of us can end the agreement at any time.

This summary is for convenience; the numbered terms below are what apply.

1. Definitions

  • Partner ("you"): the person or business whose application we approved.
  • Partner Link: your link to our website carrying your code, for example adflame.ai/?ref=YOURCODE.
  • Partner Code: your promotion code, entered by a customer at checkout. In most cases it is the same as the code in your Partner Link.
  • Referred Customer: a new AdFlame customer credited to you under Section 4.
  • Qualifying Payment: a subscription payment we actually receive from a Referred Customer, as described in Section 5.
  • Commission Period: the 12 months starting on a Referred Customer's first Qualifying Payment.

2. Joining the Program

  • You must be at least 18 years old, able to enter into a binding agreement, and give accurate information in your application. If you apply for a business, you confirm you may bind it to these Partner Terms.
  • We review every application and may accept or decline it at our discretion, without giving a reason.
  • You join when we approve you and send your Partner Code and Partner Link. By promoting AdFlame with them, you accept these Partner Terms.
  • Our employees and contractors, and anyone living with them, may not join. Existing customers may join, but may not earn commission on their own accounts (Section 8).
  • One partner account per person or business. Keep your contact and payout details up to date.

3. Your Partner Link and Code

Your Partner Link and Partner Code are personal to you. You may share them in your own content and with your own audience under the rules in Sections 8 and 9. We may change a code that conflicts with someone else's rights, appears on a coupon site, or is otherwise misused, and will send you the replacement.

4. How Referrals Are Credited

  • Through your link: when a visitor arrives through your Partner Link and creates a new AdFlame account within 30 days, that account is credited to you. If they used several partners' links first, the first partner's link counts.
  • Through your code: if an account is not already credited to a partner through a link, it is credited to you when its first subscription checkout uses your Partner Code.
  • New customers only: accounts that existed before the visit, and anyone who has already been an AdFlame customer, are not credited. Your Partner Code only works on a customer's first subscription.
  • Tracking limits: link tracking uses a first-party cookie and depends on the visitor's cookie choices, browser settings, devices and ad blockers. In some regions it only works after the visitor accepts measurement cookies. Encourage your audience to use your Partner Code, which is credited whatever their cookie settings.
  • Our records decide: credit is based on our tracking records and Stripe's payment records. If you believe a referral was missed, tell us within 60 days of the customer's first payment and we will look into it in good faith; our decision is final.
  • While paused or after termination (Section 15), new visits and checkouts are not credited to you.

5. Commission

  • You earn 20% of each Qualifying Payment made during a Referred Customer's Commission Period. Your rate is the one in force when we approved you; changes follow Section 16.
  • A Qualifying Payment is a payment we actually receive for an AdFlame subscription (monthly or annual, including the extra charged for an upgrade), counted after discounts and credits and excluding taxes. Add-on credit packs, one-time charges, and payments later refunded or charged back are not Qualifying Payments.
  • Commission Period: 12 months from the Referred Customer's first Qualifying Payment. On a monthly plan that covers up to 12 monthly payments; on an annual plan it covers the first annual payment, which is paid upfront. Renewals after the Commission Period earn nothing.
  • Commission is calculated in US dollars, rounded to the nearest cent, and recorded when the payment is received.
  • We set AdFlame's prices, plans and discounts and may change them at any time; commission follows what the customer actually pays.

6. Payouts

  • Commission becomes payable 30 days after the Qualifying Payment it relates to, so refunds and chargebacks can be taken into account.
  • We pay once a month, by PayPal, Wise or bank transfer, in US dollars, once your payable balance is at least $50. A smaller balance rolls over to the next month.
  • You are responsible for giving us correct payout details. Fees charged by your bank or payment provider for receiving money, and any currency conversion, are yours.
  • We may ask for tax or identity information before paying (for example a W-9 or W-8BEN form, a business registration or VAT number) and may hold payouts until we receive it.
  • You are responsible for your own taxes on commission. If the law requires us to withhold tax, we will deduct it from your payout.
  • If this agreement ends other than for your breach, we pay your remaining payable balance within 60 days of it becoming payable, even if it is below the minimum.

7. Refunds, Chargebacks and Fraud

  • If a Qualifying Payment is refunded, reversed or charged back, the commission on it is canceled. If we have already paid it, we may deduct it from your future payouts or ask you to repay it.
  • We may withhold or cancel commission on referrals that we reasonably believe are fraudulent, self-referred, generated by prohibited methods (Section 8) or otherwise breach these Partner Terms, and may investigate before paying.

8. Promotion Rules

You may promote AdFlame in your own content: websites, newsletters, videos, podcasts, social posts, courses, communities and conversations with clients. You must not:

  • Bid on "AdFlame", "AdFlame.ai" or misspellings or variations of them in search or social advertising, or use them in ads that send traffic through your Partner Link.
  • List your Partner Code or Link on coupon, voucher, deal, cashback or reward sites or browser extensions.
  • Send spam or unsolicited messages, or email anyone who has not agreed to hear from you under applicable law.
  • Refer yourself, your own business, your employer, or people living with you, or create accounts to earn commission.
  • Offer cash, gifts or other incentives to sign up, except an offer we have agreed in writing.
  • Use cookie stuffing, forced clicks, hidden links, bots or any method that credits referrals you did not genuinely make.
  • Promote AdFlame on sites or in content that is illegal, hateful, sexually explicit, violent or infringes anyone's rights.
  • Present yourself as AdFlame, or as our employee or agent, or create websites, accounts or handles that could be mistaken for ours.

9. Disclosure and Honest Claims

  • Clearly and conspicuously disclose that you earn a commission whenever you promote AdFlame (for example "I earn a commission if you sign up through my link"), as required by advertising rules such as the US FTC Endorsement Guides and the UK CAP Code, and by the rules of the platform you post on.
  • Only describe AdFlame accurately and from your genuine experience. Do not promise results, guarantee accuracy, invent test results or statistics, or describe features or prices that are not on our website.
  • AdFlame's results are simulated predictions, not guarantees of live performance; do not suggest otherwise.
  • If we ask you to correct or remove content about AdFlame, do so within 5 business days.

10. Use of Our Brand

While you are a partner, we grant you a limited, non-exclusive, non-transferable, revocable license to use the AdFlame name, logo, screenshots and other assets we provide, only to promote AdFlame under these Partner Terms. Do not alter the assets or combine our marks with your own. All rights in our brand stay with us, and the license ends when this agreement ends.

11. Customer Offer

Your Partner Code gives new customers 20% off their first 3 months on any subscription plan, on top of the free trial available to everyone. Only one code can be used per checkout. We may change or end the customer offer for future customers with notice to you; customers who already used your code keep their discount.

12. Customers and Data

  • Referred Customers are AdFlame's customers, under our Terms of Service and Privacy Policy. We handle their accounts, billing and support.
  • We share with you only totals (referrals, paying customers, commission), never personal information about Referred Customers.
  • When you collect or use personal data in your own promotion (for example an email list), you are responsible for complying with data protection and marketing laws.

13. Confidentiality

Information we share with you that is not public (for example unreleased features, referral figures or commercial terms) is confidential. Use it only for the program and do not share it, during or after the agreement.

14. Independent Relationship

You are an independent contractor. Nothing in these Partner Terms creates employment, agency, partnership in the legal sense, franchise or joint venture, and you may not make commitments on our behalf. The program is non-exclusive: you may promote other products, and we may work with other partners, including ones that reach the same audience.

15. Pausing and Ending the Agreement

  • Either of us may end this agreement at any time by email.
  • We may pause your participation (your Partner Code stops working and new referrals are not credited) while we look into a concern, or when you ask us to.
  • Ending without breach: you keep earning commission on Referred Customers credited to you before the end date, for the rest of their Commission Periods, paid under Section 6.
  • Ending for breach: if we end the agreement because you breached these Partner Terms, your Partner Code and Link stop working immediately, you stop earning commission, and any unpaid commission is forfeited.
  • When the agreement ends, stop using our brand and your Partner Link and Code, and remove or update content that presents you as a current partner within 30 days. Sections 6, 7, 12, 13, 14, 17 and 18 continue to apply.

16. Changes to the Program

We may change these Partner Terms, the commission rate, the Commission Period, the payout rules or the customer offer, or end the program, by giving you at least 30 days' notice by email. Changes never reduce commission on Qualifying Payments made before they take effect. If you do not agree to a change, you may end the agreement before it takes effect; continuing to promote AdFlame afterwards means you accept it. If we end the program, commission stops accruing on its end date and we pay the remaining balance under Section 6.

17. Warranties, Liability and Indemnity

THE PROGRAM IS PROVIDED "AS IS". WE DO NOT PROMISE ANY LEVEL OF REFERRALS OR EARNINGS, OR THAT TRACKING WILL BE UNINTERRUPTED OR ERROR-FREE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS, AND OUR TOTAL LIABILITY UNDER THESE PARTNER TERMS WILL NOT EXCEED THE COMMISSION PAID OR PAYABLE TO YOU IN THE 12 MONTHS BEFORE THE CLAIM.

You agree to indemnify and hold AdFlame harmless from claims, losses and reasonable legal costs arising from your promotion of AdFlame, your content, your breach of these Partner Terms, or your breach of any law or third-party right.

18. Governing Law and General Terms

  • These Partner Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes are handled as set out in Section 12 of our Terms of Service, starting with 30 days of good-faith negotiation.
  • These Partner Terms, with our Terms of Service and Privacy Policy, are the whole agreement about the program. If they conflict on a partner matter, these Partner Terms apply.
  • You may not assign or transfer this agreement without our written consent. We may assign it in connection with a merger, acquisition or sale of our business.
  • If any part is found unenforceable, the rest stays in force. Not enforcing a term is not a waiver of it.
  • We send notices to the email address you applied with; you send them to us at the address below.
